LEGAL / SERVICE CONDITIONS

Terms of Use

Effective 10 October 2026

These Terms of Use govern access to this website. Where ALGOAI MARKETING LTD provides paid services, the following general commercial terms apply unless varied by a signed written agreement or accepted proposal. Mandatory legal rights are not excluded.

1. Company Details

ALGOAI MARKETING LTD (“Company”, “we”, “us”) is identified by company number 17511087 and registered office at 128 City Road, London, EC1V 2NX, United Kingdom.

2. Services and Scope

Our services may include paid social advertising, Facebook and Instagram ads management, media buying, campaign strategy, creative coordination, optimisation and reporting. Deliverables, platforms, service periods, budgets and responsibilities are set out in a separate written proposal, invoice or service agreement. No particular service is included unless expressly agreed.

3. Advance Payment — All Services Are Prepaid

All advertising management fees, media buying budgets and other service charges must be paid in advance. We are not required to begin or continue work, commit advertising spend, book placements or activate campaigns until the applicable cleared funds have been received. For recurring services, the next service period must be prepaid before that period starts. Late or insufficient payment may result in suspension or non-activation of services.

4. Management Fees and Media Spend

Management fees and third-party advertising spend are separate unless the written quotation expressly combines them. Clients must provide sufficient prepaid funds for approved media purchases or pay the advertising platform directly under an agreed arrangement. Taxes, platform charges, currency conversion and third-party costs may apply as disclosed in the proposal or invoice. We will not knowingly commit spend beyond the authorised funded budget.

5. Budget Adjustments and Authorisation

Material changes to campaign scope or media budgets require client approval and may require additional advance payment. Advertising platform delivery can fluctuate within platform settings and policies. The client is responsible for timely review and approval of materials, budgets and campaign objectives.

6. Cancellations, Refunds and Unused Funds

Requests to cancel should be made in writing. Subject to applicable law and any specific signed agreement, fees for services already performed and amounts irrevocably committed to third-party advertising or suppliers are not refundable. Any unspent, uncommitted client media funds held by us will be reconciled and returned within a reasonable period after applicable charges and obligations are settled. Prepaid fees for services not yet provided will be assessed under the written agreement and applicable law; nothing here removes statutory refund rights.

7. Client Responsibilities

Clients must supply accurate business information, lawful advertising claims, authorised assets, necessary access and timely approvals. Clients are responsible for their products, services, landing pages, privacy notices, regulatory compliance and rights to supplied materials. We may reject or pause work involving unlawful, deceptive or platform-prohibited content.

8. Platform Policies and Third Parties

Advertising services depend on independent third-party platforms. Meta and other platforms control their own account eligibility, reviews, pricing, algorithms, policies and availability. We cannot guarantee approval, continued account access, placement or delivery. Third-party terms apply independently.

9. No Guaranteed Results

Forecasts, estimates and proposed performance targets are not guarantees. We do not promise particular impressions, leads, sales, revenue, rankings, conversion rates or return on advertising spend. Performance depends on many factors outside our control.

10. Intellectual Property

Our website content, branding, methods and pre-existing materials remain ours or our licensors'. Rights to custom deliverables, advertising creatives, client assets and account data are determined by the applicable written agreement and third-party licences. Clients grant us necessary limited permission to use supplied materials to deliver the agreed services.

11. Website Use

Users must not misuse the website, interfere with its operation, attempt unauthorised access or copy protected materials without permission. Information on this website is provided for general business information and may change without notice.

12. Liability

To the maximum extent permitted by applicable law, neither party is liable for indirect or consequential losses arising from the services. Any agreed financial limitation of liability will be stated in the applicable service agreement. Nothing excludes liability that cannot lawfully be excluded, including liability for fraud or fraudulent misrepresentation.

13. Suspension and Termination

We may suspend work for non-payment, missing approvals, security risks, unlawful activity or material breach, subject to applicable law and agreed notice requirements. On termination, accrued payment obligations and lawful reconciliation of unused media funds remain applicable.

14. Governing Law

Unless mandatory rules or a separate signed agreement provide otherwise, these terms are governed by the laws of England and Wales and disputes are subject to the courts of England and Wales.
